(B) By visiting, accessing and/or using https://watchanchor.com (the “Website”), or registering for an user account with us, you hereby accept these Terms (which shall include without limitation, our Privacy Policy set out in Section 2 (Privacy Policy) below) and agree to be bound by them, as well as consent to the collection and disclosure of your personal data in accordance with this Privacy Policy.
(C) The Company reserves its rights to vary or modify the Terms from time to time in its sole and absolute discretion without prior notice to you. The varied or modified version of these Terms shall be posted on the Website from time to time and such posting shall constitute sufficient notice to you of the variation or modification. The variation and modification shall take effect on the date of the posting of the same on the Website. Your continued use of the Website following any amendment of these Terms will represent an agreement by them to be bound by these Terms as amended.

DEFINITIONS
- “Company”, “we”, “our” or “us” refers to Kopi Code and Minimoki Pte. Ltd., its related companies and affiliates;
- “Content” shall mean any data, text, software, music, sound, photographs, graphics, video, messages or other materials, including but without limitation to, the Uploaded Images, company logos, trademarks, copyrighted materials displayed, published or made available on through the Website;
- “User”, “you” or “your” refers to any person, firm, company, corporation or body which utilizes our Website;
- “Intellectual Property Rights” means all intellectual property rights (whether registered or not) including, but not limited to, copyrights, patents, logos, trademarks or business names, design rights, database rights, know-how, trade secrets and rights of confidence in connection with the Website, Services and/or Content; and
- “Services” refers to the online repository services relating to the collection of particulars or information or where permitted by the User, the publication of information relating to the User's collection of watches and timepieces, as offered by the Company via the Website.

- We respect and are committed to protecting your privacy. In order to serve you better and to deliver or perform the Services, we may collect personally identifiable information and your personal data (as defined below) when you visit, access or utilise our Website.
- Our Privacy Policy set out in this Section 2 (Privacy Policy) sets out the basis which we may collect, retain, disclose, use, or otherwise process the personal data collected about you via the Website in accordance with the Singapore Personal Data Protection Act 2012, any regulations enacted thereunder and any guidelines that may be issued from time to time by the Personal Data Protection Commission (collectively, the “PDPA”). - (a) Contact and Identity-related Data: Your name, images and photographs of your watches and timepieces, details of your watches and timepieces (which shall include but not be limited to the purchase details, manufacturer, type, characteristics, serial number and information relating to the make and warranty, wish-lists, notes or references, or list of favourites), photographs, email address, telephone number;
- (b) Use Data: Information about how you use our Website (including the time you visit our Website, the duration of your visit, the brand, types and make of watches and timepieces you have added to your collection or where applicable, to your wish list or list of favourites), the advertising, marketing and content you interact with on the Website;
- (c) Marketing and Communications Data: Feedback, comments, pictures and discussions on our Website and chat boxes, responses to missing or incorrect data for timepieces or watches and timepieces, responses to user surveys and polls, your preferences in receiving marketing communications from us and our third parties, and your communication preference;
- (d) Payment Information: Data about your billing address and method of payment, such as bank details, credit, debit or other payment card information.
- (e) Technical Data: Your Internet Protocol address, the internet device identity or media access control address of your device, information sent by or associated with the devise used to access the Website, times of visit, information regarding the manufacturer, type, characteristics, model or operating system of the device that you use and/or information about the web browser that you use to access our Website;
- (f) Location data; and
- (g) Any other information when you sign up for an account on our Website, and when you use the Website, as well as information related to how you use the Website, and the aggregate data on any such content you shall engage with.

- (i)obtain your views or comments on the Services we provide;
- (j)where applicable, for any purposes in connection with the performance of our Services, to contact you in relation to the above or any such purposes which might be legally required of us, or to enforce our Terms; and

- We understand and value the importance of privacy and will protect your personal data while it is in our care. Where we disclose your personal data for the above-stated Purposes, or to third party(ies) with your consent, we will employ our best efforts to require such party(ies) to protect your personal data and to treat it in accordance with law. In particular, we may share your personal data with the following third party(ies) below for the above-mentioned Purposes:
- (a) trusted third party(ies) such as our vendors, consultants and contractors that provide services for us or on our behalf. - To safeguard your personal data from unauthorised access, collection, use, disclosure, copying, modification, disposal or similar risks, we have introduced appropriate measures to secure all storage and transmission of personal data by us and disclosing personal data both internally and to authorized third party(ies) only on a need-to-know basis.

Access to Personal Data
- 2.10.1 If you wish to access a copy of your personal data, or alternatively the details about the ways in which your personal data is used and/or disclosed, you may submit a request (“Access Request”) in writing via email to our Data Protection Officer.
- 2.10.2 We will respond to your Access Request as soon as we can, but in any case no later than thirty (30) days from the day our Data Protection Officer receives your Access Request. If we are unable to accede to your Access Request, we will inform you of the reasons why unless we are not required to do so under the PDPA. Please note that a reasonable fee may be charged for an Access Request. We will inform you of the fee before processing your Access Request.
Storage or Retention of Personal Data
- 2.11.1 We may retain your personal data for as long as necessary to fulfil the purpose(s) for which it was collected, or as required or permitted by applicable laws.
- 2.11.2 We will cease to retain your personal data or remove the means by which the personal data can be associated with you, as soon as it is reasonable to assume that such retention no longer serves the purpose for which the personal data was collected and is no longer necessary for legal or business purposes.
- 2.11.3 We will also put in place measures such that your personal data in our possession or under our control is destroyed and/or anonymized as soon as it is reasonable to assume that (i) the purpose for which that personal data was collected is no longer being served by the retention of such personal data, and (ii) retention is no longer necessary for any such legal or other business purposes.
Updating Personal Data
We rely on the personal data that you have provided to render our Services to you. In order to ensure that your personal data is current, complete and accurate, you may simply log into your registered account and make the relevant changes. Withdrawal of Consent
- 2.13.1 If you wish to withdraw your consent to our collection and retention of your personal data, you must inform our Data Protection Officer in writing by email at hello@watchanchor.com (“Email Notification”), and specify the email address(es) for the purposes of withdrawing your consent for the collection and retention of your personal data. No other method of withdrawal of consent will be accepted as a valid notification of our Data Protection Officer.
- 2.13.2 Upon receipt of your Email Notification, we will require fourteen (14) days for your request to be processed. Your withdrawal of consent shall be construed as your irrevocable agreement that,
- (a)We will not be able to continue providing the Services to you and we are entitled to forthwith and automatically terminate your existing account on the Website;
- (b) We shall be entitled to permanently delete all your personal data, which shall include but not be limited to all information relating to the collection your watches and timepieces (which shall include but not be limited to the purchase details, manufacturer, type, characteristics, serial number and information relating to the make and warranty, wish-lists, notes or references, or list of favourites). You will not be able to retrieve any and all information, including all such personal data relating to your collection of watches and timepieces shall be permanently deleted.
- 2.13.3 Please note that withdrawing your consent does not affect our right to continue to collect, use and disclose personal data where such collection, use and disclosure without consent is permitted or required under applicable laws, rules or regulations.

Transfer of Personal Data Outside Singapore
- 2.14.1 We generally do not transfer your personal data to countries outside of Singapore unless specifically instructed by you and/or where necessary in the course of the provision of our Services.
- 2.14.2 Where we transfer your personal data outside Singapore, we will take steps to ensure that your personal data continues to receive a standard of protection that is at least comparable to that provided under the PDPA.
Effect of Privacy Policy and Changes to Privacy Policy
- 2.15.1 This Privacy Policy applies in conjunction with any other terms and conditions, notices, contractual or consent clauses that apply in relation to your personal data.
- 2.15.2 As part of our efforts to ensure that we properly manage, protect and process your personal data, we will be reviewing our policies, procedures and processes from time to time, and may revise this Privacy Policy from time to time at our sole discretion. If we change our Privacy Policy, we will notify you by posting those changes or the amended Privacy Policy on our Website.
- 2.15.3 You may determine if any such revision has taken place by referring to the date on which this Privacy Policy was last updated. Your continued use of our Services, including visiting or accessing the Website, shall constitutes your acknowledgement and acceptance of such changes to the Privacy Policy.
USER'S ACKNOWLEDGEMENT
- The User acknowledges and agrees that:
- The User accepts these Terms and has the capacity to enter into a legal contract with the Company and be bound by the Terms;
- The Company shall retain the sole and absolute discretion to refuse the use of the Website to any person(s) for any reason, at any time.
- The User further acknowledges and agrees as follows:
- To the fullest extent permitted by law, the Company shall not be liable to the User in any way for any loss or damage of any kind, however caused, arising directly or indirectly in connection with the transmission of an electronic instruction through the Website, for any failure to receive an electronic instruction for whatever reason, or any and all losses sustained by the User in transmitting information via electronic means; and
- The Company may, in its sole and unfettered discretion, assign and delegate the operation, hosting and/or maintenance of the Website or any part thereof to third party(ies) vendors, consultants or contractors, (the “Third Party Vendors and Service Providers”). The Third Party Vendors and Service Providers shall be responsible and liable for their products or services offered or supplied to the Users, and the Company shall not be responsible for and does not provide any warranty or guarantee whatsoever with respect to (i) the quality, safety, suitability, or legality of any product or service of Third Party Vendors and Service Providers, (ii) the truth or accuracy of any product or service descriptions of the Third Party Vendors and Service Providers, or (iii) the performance or conduct of Third Party Vendors and Service Providers.
- The Company does not warrant the accuracy, adequacy or completeness of the Website and/or the Content, and expressly disclaims liability for any such errors in the Content. No warranty of any kind, implied, express or statutory, including but not limited to the warranties of non-infringement of third party rights, title, satisfactory quality and/or fitness for a particular purpose, is given in conjunction with the Content and/or the Website. The Company does not warrant that any of the Content or that the Website will be provided uninterrupted or free from errors or that any identified defect will be corrected. Further, no warranty is given that this Website and the Content are free from any virus or other malicious, destructive or corrupting code, programme or macro.
- You hereby acknowledge and agree as follows:
- 3.4.1 The Company shall be entitled to charge an one-off subscription fee for the additional features to the User's user account on the Website (“Upgraded Account”) which the Company may determine from time to time (the “Subscription Fees”).
- 3.4.2 In the event the User does not wish to pay the Subscription Fees, the User acknowledges and agrees that he will only be able to use limited features on the Website, which may include adding a limited number of watches and/or time-pieces to his/her collection, and the User shall not be entitled to enjoy the additional features of the Upgraded Account, (the “Limited Features”).
- 3.4.3 The Company shall in its sole and absolute discretion, be entitled to determine the additional features for the Upgraded Account, as well as the Limited Features for the user account by posting any changes, variations and/or revisions to the Limited Features and/or the Upgraded Account on the Website, and such posting shall constitute sufficient notice to you of the variation or modification. The variation and modification shall take effect on the date of the posting of the same on the Website.
- 3.4.4 You acknowledge that for any charges of the Subscription Fees made by the Company to you in connection with the Upgraded Account, the Company may use an affiliated company or Third Party Vendors and Service Provider(s) to charge any amounts in relation to the Subscription Fees. The Company reserves the rights to change the quantum of the Subscription Fees as well as the terms and conditions in relation to the Upgraded Account, by posting the changes to the Subscription Fees and/or the Upgraded Account on the Website.
- 3.4.5 All Subscription Fees paid to the Company are non-transferable and non-refundable.
- 3.4.6 In the event you wish to terminate your user account (which shall include where applicable, the termination of the usage and/or access to the additional features of the Upgraded Account), you shall provide the Company with thirty (30) days' prior written notice to hello@watchanchor.com in order to terminate your user account with us. In the event of such termination, unless otherwise determined by the Company in its sole and absolute discretion, no Subscription Fees shall be refundable to the User. Upon termination of your user account, all personal data shall automatically be deleted in accordance with Clause 2.13 above. You will not be able to retrieve any and all information, including all such personal data relating to your collection of watches and timepieces shall be permanently deleted.
- If you use the Website, you are responsible for maintaining the confidentiality of your user account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your user account or password. You further agree and undertake as follows:
- 3.5.1 In order to utilise the additional features for the Upgraded Account, you shall pay the Subscription Fees relating to the same; and
- 3.5.2 Keep your password secure, and to change your password for your user account immediately and notify us immediately and request a new password if you have reason to suspect that the security and/or confidentiality of your password for your user account has been compromised.
INTELLECTUAL PROPERTY AND COPYRIGHT
- By uploading or hosting any Content, or any such image or photograph to the Website (“Uploaded Images”), you hereby warrant, undertake and acknowledge as follows:
- You shall provide Content that does not violate the law nor anyone's rights (including Intellectual Property Rights) and you shall indemnify the Company for all claims resulting for any Content and the Uploaded Images that you supply;
- You represent and warrant that are the owner or otherwise control all of the rights to the Uploaded Images, and you hereby grant the Company a non-exclusive, royalty-free, perpetual, irrevocable license to the same to use, retain, copy, modify, distribute, adapt, create derivative works from, publish and process and display such Uploaded Images without any further consent, notice and/or compensation to you or others;
- In the event you are not the owner of the Uploaded Images, you hereby warrant and represent that you have obtained the consent of the owner of the Uploaded Images, for a non-exclusive license to be granted in accordance with this Section 4 (Intellectual Property and Copyright);
- All Content submitted by you via the Website in relation to access of the Website is non-confidential and non-proprietary unless otherwise expressly indicated by you. You further undertake not to submit any information and/or other materials which are or may be offensive, illegal or which may not be lawfully disseminated under the laws of Singapore or any other relevant country; and
- The Company has the right but not the obligation to monitor and edit any activity or content that violates this Section 4 (Intellectual Property and Copyright). The Company takes no responsibility and assumes no liability for any and all Content posted, uploaded or published by you.
- Unless otherwise stated, the text, graphics, photographs, pictures, user interfaces, visual interfaces, software, sounds, artwork, designs, logos, and computer code on the Website are owned and controlled by the Company and/or its licensors and the design, structure, selection, coordination, expression, look and feel and arrangement on the Website is protected by copyright, patent and trademark laws, and various other intellectual property rights. You agree that any logos, names, service marks, trademarks and other devices (collectively referred to as "Marks") pertaining to the Company that may be displayed on this Website are its registered and/or unregistered Marks. Nothing contained on this Website should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any of the Marks belonging to it or third party(ies) that are displayed on this Website without prior written permission.
- Any use, including but not limited to the reproduction, distribution, adaptation display or transmission of the content of this Website is strictly prohibited, unless authorized in writing by the Company. However, where applicable, you may share and/or publish your collection of watches and timepieces, for your personal and non-commercial use. Except as expressly authorised by the Company, you hereby agree not to modify, copy, lease, loan, sell, distribute or create derivative works based on the Website and/or Content, whether in whole or in part. All goodwill generated from the use of the Website, Content and/or Services shall inure to the Company's sole and exclusive benefit. Certain Content displayed on this Website may be intellectual property belonging to third party(ies), and the Company does not warrant or represent that if you use such material you will not infringe the legal rights of these third party(ies).
- To the extent where the Users provide the Company with any suggestions, comments, improvements, ideas or other feedback (“Feedback”), it is hereby agreed that the Users shall assign ownership of all intellectual property rights subsisting in that Feedback to the Company and acknowledge that the Company can use and share such Feedback for any purpose in its sole and absolute discretion.
INDEMNITY
- The Company, its officers, directors, employees, agents, licensors and suppliers, shall not be liable for any damages that result from the use of, or the inability to use, or any such loss or reliance on the use of the Content on the Website.
- The User acknowledges, undertakes and agrees that:
- The Company shall not be responsible or in any way liable for any act or omission of third party(ies) referred to on the Website and/or any linked website, which shall include without limitation, the Third Party Vendors and Service Provider(s);
- The User shall at all times indemnify, and hold harmless the Company and its related entities, including their directors, officers, employees, sub-contractors and its agents from and against any and all losses (including reasonable legal costs and expenses on a full indemnity basis), claims, damages, suit, action or proceeding, penalties or liability that the Company may suffer in connection with or arising from or incurred in respect of the User’s conduct, acts, failures, omissions and defaults, or any breach of these Terms, or arising directly or indirectly from or in connection with the User’s undertaking, warranties, and/or these Terms, or any such loss or damage of any kind (however caused or arising) relating in any way to the Website including, but not limited to, loss or damage the User might suffer as a result of:
- (a) Errors, mistakes or inaccuracies on the Website, including but not limited to any such marketing collaterals;
- (b) The User acting, or failing to act, on any information contained on or referred to on the Website and/or any linked website;
- (c) Any unauthorized access to or use of the Website’s secure servers;
- (d)Any interruption or cessation of transmission to or from the Website;
- (e)Any bugs, viruses, trojan horses or other harmful code or communications which may be transmitted to or through the Website by any third party; or
- (f)The quality or fitness for any purpose of any linked sites.
DISCLAIMER
- While the Company has endeavoured to ensure that all the information on the Website is correct, the Company neither warrants nor makes any representations regarding the quality, accuracy or completeness of any data, information or service. The Company shall not be responsible for the delay or inability to use the Website or related functionalities, the provision of or failure to provide functionalities, or for any information, software, functionalities and related graphics obtained through the Website, or otherwise arising out of the use of the Website, whether based on contract, tort, negligence, strict liability or otherwise.
- Without limiting the foregoing, the Company makes no representation or warranty that,

- the use of the Website will be uninterrupted, timely, secure or error-free;

- No advice or information, whether oral or written, obtained by the User from the Company or through use of the Website shall create any warranty unless expressly specified in these Terms. Any representation, condition or warranty which might be incorporated into these Terms by statute, common law, the law of equity or otherwise is excluded to the fullest extent permitted by law.
- The User understand and agrees that any material or data downloaded or otherwise obtained through the Website is done entirely at his own discretion and risk, and that he will be solely responsible for any damage to his computer systems or loss of data that results from the download of such material or data.

GENERAL TERMS
- Governing Law & Jurisdiction: The Terms shall be governed by and construed in all respects in accordance with the laws of Singapore and the Parties irrevocably submit to the exclusive jurisdiction of the Singapore Courts.
- Severability: If any part of these Terms are found to be void, invalid, unlawful or unenforceable then that provision or part will be deemed to be severed from these Terms and the remaining Terms will remain in force and constitute the agreement between the User and the Company.
- Rights of Third Parties: A person who is not a party of these Terms shall not have any right under the Contracts (Right of Third Parties) Act 2001 of Singapore, to enforce any provision(s) of these Terms. The Terms are personal to the User and the User may not assign or transfer any of his rights, benefits and obligations under the Terms without the prior written consent of the Company.
- Transfer and Assignment: If the Company merges, sells or otherwise changes control of its business or this website to a third-party, the Company reserves the right, without giving notice or seeking consent, to transfer or assign the personal data, content and rights that the Company has collected and any agreements it has made with the User.
- Waiver: The failure by the Company to exercise or enforce any right or provision under these Terms will not constitute a waiver of such right or provision. Any waiver of any provision under these Terms will only be effective if it is in writing and signed by the Company.
